1. Agreement to These Terms

These Terms and Conditions ("Terms") govern your use of www.tnpav.com (the "Site") and any services provided by TNPAV LLC, doing business as Top Notch Productions AV ("TNPAV," "we," "us," or "our").

By using the Site, requesting a quote, booking crew, applying for work, or opting in to text messages, you agree to these Terms. If you don't agree, please don't use the Site or our services.

If you sign a separate written agreement with us (such as a client services agreement or crew agreement), that agreement controls wherever it conflicts with these Terms.

2. Using the Site

You must be at least 18 years old to use the Site, request services, or apply for work with us.

You agree not to:

  • Submit false, misleading, or someone else's information

  • Use the Site for anything illegal or to harass, spam, or impersonate anyone

  • Try to break, overload, scrape, or get unauthorized access to the Site or its systems

  • Upload viruses, malicious code, or anything that interferes with how the Site works

Our content. The TNPAV name, logo, text, photos, and video on the Site belong to us or are used with permission. You can view and share links to the Site, but you can't copy, resell, or reuse our content for commercial purposes without written permission.

Third-party links. The Site may link to other websites. We don't control them and aren't responsible for their content or practices.

Privacy. How we collect and use your information is explained in our Privacy Policy, which is part of these Terms.

3. Services for Clients

TNPAV provides audio, video, lighting, and general production crew for events, shows, and productions. Specific rates, positions, and call details are set in your quote, booking confirmation, or services agreement.

Quotes and bookings. Quotes are estimates based on the information you give us. A booking is confirmed only when we confirm it in writing (email or text counts). Changes to headcount, positions, call times, or location can change pricing.

Rates and minimums. Unless your agreement says otherwise:

  • Each crew member has a minimum call of 5 hours per call

  • Overtime applies after 10 hours in a day at 1.5x the base rate, and 2x after 12 hours unless otherwise discussed.

  • Meal breaks must be done after 5 hours of work. Walkaway or provided by client.

  • Travel, parking, and lodging are billed as agreed

Payment. Invoices are due net 30 from the invoice date unless otherwise agreed upon. Late balances may be charged 1.5% per month or the maximum allowed by law, plus reasonable collection costs. We may require a deposit for new clients, large calls, or other.

Cancellations. Cancellation fees apply per crew member scheduled:

24 hours notice given before call time : 100% Fee due

Operators or leads may charge cancellation fees of 100% up to 2 weeks out based on agreement.

Your responsibilities as a client. You agree to provide accurate call information, a safe work environment, site access, and any required credentials or safety gear. You're responsible for your own equipment, venue, and event insurance unless we agree otherwise in writing.

Direct hire of our crew. Our crew relationships take real work to build. If you hire or book a TNPAV-provided crew member directly (not through us) within 12 months of their last TNPAV call with you, you agree to pay a placement fee of $1,000 US.

4. Crew and Technician Applicants

Submitting an application, resume, or profile through the Site doesn't guarantee any calls, work, or ongoing relationship with TNPAV. We choose crew based on client needs, skills, availability, and past performance.

You agree that everything you submit: experience, certifications, references, and contact info, is accurate and ours to share.

Nothing on the Site creates an employment, contractor, partnership, or agency relationship. Any working relationship with TNPAV is set only by a separate written agreement signed by both parties, and is governed by that agreement and applicable law.

5. Text Message (SMS) Terms

Our text message program terms, including message frequency, rates, and how to opt out, are in our Privacy Policy.

6. Disclaimers, Liability, and Indemnification

Disclaimer. The Site and its content are provided "as is." We work to keep information accurate and the Site running, but we don't guarantee it will always be error-free, secure, or available.

Limitation of liability. To the fullest extent allowed by law, TNPAV and its owners, members, and crew are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or event losses. Our total liability for any claim related to the Site or our services is limited to the amount you paid TNPAV for the specific call or service the claim relates to.

Things outside our control. We're not responsible for delays or failures caused by events beyond our reasonable control, including weather, illness, venue issues, power or equipment failures not caused by our crew, travel disruptions, or government action. If this happens, we'll make a reasonable effort to find replacement crew.

Indemnification. You agree to defend and hold TNPAV harmless from claims, damages, and costs (including reasonable attorneys' fees) that come from your misuse of the Site, your breach of these Terms, or unsafe conditions at a site you control.

7. Governing Law, Changes, and Contact

Governing law. These Terms are governed by the laws of the State of Arizona. Any dispute will be handled in the state or federal courts located in Maricopa County, Arizona, unless a separate agreement says otherwise. Before filing anything, both sides agree to try to resolve the issue informally for at least 30 days.

Changes. We may update these Terms from time to time. The "Last updated" date at the top shows the latest version. Continuing to use the Site or our services after an update means you accept the new Terms.

Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
